Merchant Terms & Conditions
These terms govern your use of Mount Pay's payment processing services. By signing up for an account, integrating our API, or accepting a payment through us, you agree to these terms. If you don't agree, don't use the service.
Plain-English summary. You accept payments through us. We settle them to your account. You keep your business compliant. We keep our infrastructure secure. Fees are what your signed rate card says. Either side can end the arrangement with 30 days notice. This is a starter template. Your legal team should redline before you sign.

1. Definitions
- "Mount Pay", "we", "us": Mount Pay Technologies and its licensed acquiring partners in each country.
- "Merchant", "you": The business entity that signed up for a Mount Pay account.
- "Services": Payment acceptance (pay-ins), payout disbursement, and the dashboard, APIs and support that come with them.
- "End Customer": A person who makes a payment to you through Mount Pay's services.
- "Rate Card": The signed pricing schedule attached to your merchant agreement.
- "Rails": The underlying payment methods (UPI, IMPS, bKash, JazzCash, cards, etc.) through which we clear transactions.
2. The services we provide
Subject to your compliance with these terms, Mount Pay will:
- Accept payments from your End Customers across the payment methods we support in India, Bangladesh and Pakistan.
- Route each transaction to the acquirer or rail most likely to approve it, and retry on the next-best rail where the first declines.
- Settle approved transaction proceeds to your nominated bank account according to your agreed settlement cycle.
- Provide a dashboard, APIs and integration support to enable you to operate the above.
- Handle reversals, disputes and reversals in accordance with the network and rail rules.
We do not guarantee any specific approval rate, availability of a specific rail, or that a specific End Customer transaction will be approved. Rail-level uptime commitments, if any, are set out in your merchant agreement.
3. Merchant eligibility and onboarding
To use Mount Pay you must:
- Be a legally registered business with the authority to enter into this agreement.
- Hold any licences or regulatory approvals required to operate in your vertical in the jurisdictions where your End Customers are located.
- Complete our KYB (Know Your Business) process, including UBO identification, source-of-funds review where relevant, and (for regulated verticals) proof of your gaming, forex or payment institution licence.
- Not appear on any sanctions list applicable to us or to our acquiring partners.
We may decline to onboard a merchant, or terminate an active account, if the business does not meet the above or if our acquiring partners require us to. Termination reasons that arise from partner requirements will be communicated in writing where the partner permits us to disclose them.
4. Your obligations as a merchant
As a Mount Pay merchant, you agree to:
- Use the Services only to process transactions that are lawful in the jurisdictions of your business, your acquiring bank, and your End Customer.
- Not use the Services for any prohibited activity, including but not limited to: unlicensed gambling in restricted jurisdictions, sale of controlled substances, human trafficking, terrorism financing, or any activity in violation of applicable AML or sanctions law.
- Provide accurate refund, cancellation and customer support policies to your End Customers.
- Keep your merchant account credentials and API keys secure. Rotate compromised credentials immediately.
- Not attempt to reverse-engineer, resell or sublicense our APIs without written consent.
- Provide reasonable cooperation with our fraud, reversal and compliance investigations.
5. Fees and settlement
Fees are set out in your signed Rate Card. Unless the Rate Card says otherwise:
- Fees are calculated per approved, settled transaction, as a percentage of transaction value plus any fixed component agreed in writing.
- Failed transactions, retries and abandoned checkout attempts carry no fee.
- Reversal and dispute fees, where applicable, match the underlying network cost and are passed through without markup unless otherwise agreed.
- Settlement to your bank account happens on the cycle set out in your Rate Card (typically T+1, with daily or weekly cycles available on request).
- We may withhold or delay settlement for transactions that trigger AML review, reversal investigation, or fraud flags, until the review is closed.
All fees are exclusive of applicable taxes, which are your responsibility. Invoices for tax purposes are issued monthly and available in your dashboard.
6. Reversals, refunds and reversals
You are financially responsible for reversals, reversals and disputed transactions initiated by End Customers against your account, regardless of the reason. This includes the transaction principal and any associated network fees.
Mount Pay will:
- Notify you of every incoming reversal or reversal within one business day.
- Provide the dispute evidence you have submitted through our systems to the acquirer or network as appropriate.
- Debit your merchant account (or invoice, where the settlement has already cleared) for the disputed amount plus any network fee.
- Provide the tooling in the dashboard for you to accept, contest or escalate each dispute.
Excessive reversal ratios (as defined by the underlying network, typically 1% of monthly transaction count) may result in network-mandated additional fees, mandatory reversal-reduction programmes, or in serious cases suspension of wallet and bank acquiring on your account.
7. Liability
To the maximum extent permitted by law:
- Mount Pay's total aggregate liability to you for any claim arising out of or relating to these terms is capped at the fees you paid us in the 12 months preceding the event giving rise to the claim.
- Neither party is liable to the other for indirect, incidental, consequential, special, punitive or exemplary damages, or for loss of profits, revenue, goodwill or data.
- Nothing in these terms limits liability that cannot be limited under applicable law, including fraud, wilful misconduct, or gross negligence.
8. Intellectual property
Mount Pay retains all rights in the Services, our APIs, documentation, dashboards, brand and any related intellectual property. We grant you a non-exclusive, non-transferable, revocable licence to use the Services for the purpose of processing your merchant transactions during the term of this agreement.
You retain all rights in your own business content, trademarks and data. You grant us the licence needed to process transactions and to run the Services (for example, to display your logo on your hosted checkout page).
9. Suspension and termination
Either party may terminate this agreement for convenience with 30 days written notice to the other. Mount Pay may suspend or terminate immediately if:
- You breach a material obligation of these terms and do not remedy the breach within 10 days of written notice.
- You become insolvent, bankrupt or enter analogous proceedings.
- An acquirer, regulator, sanctions authority or applicable law requires us to.
- We identify fraudulent activity attributable to your account.
On termination, we will settle any funds due to you (subject to a reserve for anticipated reversals and disputes for a period specified in your merchant agreement, typically 180 days), close your API access, and delete your data in accordance with our retention obligations.
10. Disputes and governing law
These terms are governed by the law of the jurisdiction of the specific Mount Pay legal entity that signed your merchant agreement, as stated in that agreement. Disputes are to be resolved in the courts of that jurisdiction, unless the parties agree in writing to arbitration.
Nothing in this clause prevents Mount Pay from seeking urgent injunctive relief in any jurisdiction to protect its confidential information, intellectual property, or its acquirer relationships.
11. Changes to these terms
We may update these terms from time to time. Material changes will be notified to you by email at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated terms. If you don't agree to a material change, you may terminate under Section 9.
